Product shall be clean, sound, merchantable and fit for human consumption, free from live insects, molds, or harmful substances.

2. Incoterm & Destination

• Incoterm: CIF INCOTERMS 2020
• Port of Discharge: Tema Port, Ghana
• Container consigned to: Skyocean International Limited, Tema, Ghana. Transfer of title occurs upon full payment.

3. Quantity & Delivery Schedule

One (1) 40-foot High-Cube container containing 25 metric tons of bagged soybeans.
Shipment to depart within 30 days of receipt of operative payment instrument.

4. Price & Payment Terms

• Unit Price: USD 520.50 / MT
• Total Contract Value: USD 13 012.50 CIF Tema, Ghana
• Payment Method: CAD – Cash Against Documents.

The Buyer’s bank shall remit 100 % of the invoice amount within ten (10) calendar days of presentation of the complete set of shipping documents (see §6) to the Buyer’s bank. Failure to remit payment within this period forfeits the Buyer’s priority to the cargo; the Seller may immediately market the goods on a first-come, first-serve basis.

7. Title & Risk Transfer

Risk transfers from Seller to Buyer when the container crosses the ship’s rail at the Port of Loading. Title transfers upon confirmation of full payment in Seller’s account.

8. Force Majeure

Neither party shall be liable for failure to perform due to events beyond reasonable control, including acts of God, war, or port closures. The affected party must notify the other within 5 days of such event.

9. Arbitration & Governing Law

Any dispute not settled amicably within 30 days shall be referred to arbitration under the rules of the Ghana Arbitration Centre (GAC), Accra.

10. Non-Circumvention & Confidentiality

Both parties agree to the ICC rules on non-circumvention and non-disclosure in perpetuity from the date of execution.
